Commercial License Rules

1. Parties
The licensor (composer/producer) grants the licensee (client/business) rights under this agreement.
2. Work Description
The license covers the commissioned instrumental music, described with title, length, and creators.
3. Grant of License
Licensee receives an exclusive commercial license to use the instrumental music for specified purposes including broadcast, synchronization with visual media, public performance, distribution, and digital or physical sales.The license does not transfer copyright ownership, which remains with the composer.
4. Usage Rights and Restrictions
Licensees may not resell, sublicense, or transfer the music without written consent.No unauthorized modifications or derivative works allowed without licensor’s permission.Licensee must use the music only for purposes stated in the agreement (e.g., advertising, film, games, etc.).
5. Territory and Duration
License is valid for perpetuity from the date of this agreement unless otherwise stated. Commercial Use Agreement Document must be signed before delivered goods are received.Territory covered is worldwide.
6. Payment Terms
Licensee agrees to pay a one-time fee of $300 or royalties as agreed. additional fees (extended production, revisions, etc.) will be added to base price if necessary. Commercial Use Agreement Document must be signed before delivered goods are received.Full payment is due before delivery.
7. Credit and Attribution
Licensee agrees to credit the composer/producer as specified, where applicable.Credit will be written in production materials, and/or in metadata.
8. Warranties and Representations
Licensor warrants full rights and authority to grant this license.Licensor guarantees the music does not infringe on third-party rights.
9. Indemnification
Both parties agree to indemnify and hold each other harmless from claims arising from breach or misuse of the music or terms.
10. Termination and Remedies
Licensee’s rights terminate if terms are violated; licensor retains all rights.Remedies for breach include immediate cessation of music use and damages.
11. Governing Law and Disputes
This agreement is governed by the laws of federal copyright law.Disputes will be resolved by mediation. If arbitration and/or court are necessary, mediation is subject to being skipped.
12. Entire Agreement
This contract supersedes all prior agreements and may only be amended in writing signed by both parties.
